Controller. CodeNestDevelopment, 60487 Frauenlobstrasse 4 Frankfurt am Main, Germany, is the data controller for personal data processed through this website. Contact: [email protected].

Categories of data. We process identification and contact data (name, email, phone, company), project brief content you submit through our contact grid, technical logs (IP address, user agent, timestamps), and payment metadata handled by our payment processor.

Purposes and legal bases. (a) Responding to inquiries and preparing quotations — Art. 6(1)(b) GDPR (pre-contractual measures); (b) delivering contracted development services — Art. 6(1)(b); (c) securing the website and preventing abuse — Art. 6(1)(f) legitimate interests; (d) meeting accounting and tax retention duties — Art. 6(1)(c) legal obligation; (e) marketing communications only with consent — Art. 6(1)(a).

Recipients. Data may be shared with hosting providers, our payment processor, email delivery services, and professional advisors under data-processing agreements. We do not sell personal data.

Transfers. Where processors operate outside the EU/EEA, transfers rely on Standard Contractual Clauses or an adequacy decision under Chapter V GDPR.

Retention. Inquiry data is kept for up to 24 months after the last contact. Contractual and accounting records are retained for 10 years as required by German commercial and tax law (§§ 147 AO, 257 HGB).

Your rights. You may request access, rectification, erasure, restriction, portability, and object to processing under Arts. 15–21 GDPR. Where processing relies on consent, you may withdraw at any time. You may lodge a complaint with a supervisory authority, notably the Hessian Commissioner for Data Protection and Freedom of Information (HBDI), Wiesbaden.

CCPA / CPRA notice (California). California residents may request disclosure of categories and specific pieces of personal information collected, request deletion, and opt out of “sale” or “sharing” as those terms are defined under the CCPA as amended by the CPRA. We do not sell personal information. Requests may be sent to [email protected] and will be answered within the statutory timeframe.

02 Terms of Service Engagement T&C

Terms of Service

Scope. These terms govern web development, database architecture, and backend engineering services provided by CodeNestDevelopment, 60487 Frauenlobstrasse 4 Frankfurt am Main, Germany. Individual statements of work (SOW) form part of the contract and prevail where they expressly deviate.

Formation. A contract is formed when we confirm your order in writing (including email) or begin performance after you accept a quotation. Prices are quoted in EUR or USD as stated in the SOW; VAT applies where required by law.

Payment. Invoices are due within 14 days of receipt unless otherwise agreed. Payment may be made through our secure payment portal. Late payments may incur statutory default interest under § 288 BGB and suspension of work after written notice.

Delivery & cooperation. Timelines depend on timely provision of access, content, and feedback by the client. Delays caused by missing client inputs extend delivery dates day-for-day. Acceptance occurs upon delivery or, if a review period is agreed, after expiry without material defects being notified.

Intellectual property. Upon full payment, all rights in client-specific deliverables (code, designs, documentation) transfer to the client. CodeNestDevelopment retains rights in pre-existing tools, libraries, and know-how, which are licensed to the client on a perpetual, non-exclusive, royalty-free basis as needed to use the deliverables.

Warranty. We warrant that services are performed with professional care. Defect reports within 12 months of acceptance will be remedied free of charge where the defect is attributable to our work. No warranty is given for third-party services, force majeure, or client modifications.

Liability. We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act. For ordinary negligence, liability is limited to breach of essential contractual duties; in such cases, damages are limited to foreseeable, typically occurring losses. Claims become time-barred 24 months after acceptance unless a longer statutory period applies.

Termination. Either party may terminate for cause with immediate effect if the other materially breaches and fails to cure within 14 days of notice. Upon termination, fees for work performed to date become due.

Final provisions. German law applies, excluding the UN CISG. The place of jurisdiction for merchants is Frankfurt am Main, provided no exclusive statutory venue applies. If any provision is invalid, the remainder stays effective.

03 Cookie Policy ePrivacy / TTDSG

Cookie Policy

What cookies are. Cookies are small text files stored on your device when you visit this site. Similar technologies (local storage) may also be used to remember preferences.

Strictly necessary storage. We store a single preference key (cookie_accepted), set when you dismiss our cookie notice, so the banner does not reappear. This is required for the site to function as requested and does not need consent under § 25 TDDDG (formerly TTDSG).

Session security. Where you authenticate or submit forms, essential cookies or tokens may be set to maintain session integrity and prevent cross-site request forgery. These expire when you close the browser or after a short period.

Analytics & marketing. Non-essential analytics or advertising cookies are not set unless separately disclosed and, where required, consented to. Withdrawing consent via your browser settings or by deleting stored data removes these cookies; the site remains fully usable without them.

Managing cookies. You can delete or block cookies in your browser settings (Chrome, Firefox, Safari, Edge). Blocking strictly necessary storage may cause the consent banner to reappear each visit.

04 Refund Policy Reimbursement

Refund & Reimbursement Policy

Fixed-scope projects. For milestone-based engagements with CodeNestDevelopment, payments already earned for completed milestones are non-refundable. If you cancel before work begins, any deposit is refunded in full less non-cancellable third-party costs already incurred on your behalf.

Unused prepaid blocks. Prepaid development hours must be consumed within 6 months of purchase. Unused hours remaining after that period may be refunded pro-rata, less an administrative fee of 10% of the original block price.

Retainers. Monthly engineering retainers are billed in advance for the current month and are non-refundable once the service month has started. You may cancel future renewals at any time with effect from the next billing cycle by written notice to [email protected].

Defective delivery. If a deliverable does not meet the agreed specifications and we cannot cure the defect within a reasonable period after notice, you may demand an appropriate price reduction or, where the defect is substantial, withdraw from the affected part of the contract. Statutory consumer rights (where applicable) remain unaffected.

Statutory withdrawal (EU consumers). Where you act as a consumer and the contract was concluded at a distance, you have a 14-day right of withdrawal under § 355 BGB / Directive 2011/83/EU. The right does not apply to services already fully performed with your prior express consent and acknowledgment that the right lapses, or to clearly personalized goods/services.

How to request a refund. Email [email protected] with your invoice number and reason. Approved refunds are issued to the original payment method within 14 business days of approval.

Chargebacks. Please contact us before initiating a chargeback; we will make good-faith efforts to resolve issues quickly.
